If You are not acting on behalf of Yourself as an 5 individual, then “<span class="quote">You</span>” means Your company or organization. 6 </p></li><li><p><b>The Software.�</b> 7 The Software licensed under this Agreement consists of 8 computer programs and documentation referred to as <span class="trademark">Sourcery CodeBench</span>™ Lite Edition 9 (the “<span class="quote">Software</span>”). 10 </p></li><li><p><b>Definitions.�</b></p><div class="orderedlist"><table border="0"><col align="left" valign="top"><tbody><tr><td>3.1.</td><td><p><b>Mentor Graphics Proprietary Components.�</b> 11 The components of the Software that are owned and/or licensed 12 by Mentor Graphics and are not subject to a “<span class="quote">free software</span>” or 13 “<span class="quote">open source</span>” license, such as the GNU Public License. The 14 Mentor Graphics Proprietary Components of the Software include, 15 without limitation, the Sourcery CodeBench Installer, any Sourcery CodeBench 16 Eclipse plug-ins, the CodeSourcery C Library (CSLIBC), 17 and any Sourcery CodeBench Debug Sprite. For 18 a complete list, refer to the <em class="citetitle">Getting Started 19 Guide</em> included with the distribution. 20 </p></td></tr><tr><td>3.2.</td><td><p><b>Open Source Software Components.�</b> 21 The components of the Software that are subject to 22 a “<span class="quote">free software</span>” or “<span class="quote">open source</span>” 23 license, such as the GNU Public License. 24 </p></td></tr><tr><td>3.3.</td><td><p><b>Proprietary Rights.�</b> 25 All rights in and to copyrights, rights to register 26 copyrights, trade secrets, inventions, patents, patent 27 rights, trademarks, trademark rights, confidential and 28 proprietary information protected under contract or otherwise 29 under law, and other similar rights or interests in 30 intellectual or industrial property. 31 </p></td></tr><tr><td>3.4.</td><td><p><b>Redistributable Components.�</b> 32 The Mentor Graphics Proprietary Components that are intended to be 33 incorporated or linked into Licensee object code developed with 34 the Software. 35 The Redistributable Components of the Software include, 36 without limitation, CSLIBC and the 37 CodeSourcery Common Startup Code Sequence (CS3). 38 For a complete list, refer to the 39 <em class="citetitle">Getting Started Guide</em> 40 included with the distribution. 41 </p></td></tr></tbody></table></div></li><li><p><b>License Grant to Proprietary Components of the Software.�</b> 42 You are granted a non-exclusive, royalty-free license 43 (a) to install and use the Mentor Graphics Proprietary Components of the 44 Software, 45 (b) to transmit the Mentor Graphics Proprietary Components 46 over an internal computer network, 47 (c) to copy the Mentor Graphics Proprietary Components for Your internal use 48 only, and 49 (d) to distribute the Redistributable Component(s) in binary form only 50 and only as part of Licensee object code developed with the Software 51 that provides substantially different functionality than the 52 Redistributable Component(s). 53 </p></li><li><p><b>Restrictions.�</b> 54 You may not: (i) copy or permit others to use the 55 Mentor Graphics Proprietary Components of the Software, except 56 as expressly provided above; (ii) distribute the 57 Mentor Graphics Proprietary Components of the Software to any 58 third party, except as expressly provided above; 59 or (iii) reverse engineer, decompile, or 60 disassemble the Mentor Graphics Proprietary Components of the Software, 61 except to the extent this restriction is expressly 62 prohibited by applicable law. 63 </p><div class="orderedlist"><table border="0"><col align="left" valign="top"><tbody><tr><td>5.1.</td><td></td></tr></tbody></table></div></li><li><p><b>“<span class="quote">Free Software</span>” or “<span class="quote">Open Source</span>” 64 License to Certain Components of the Software.�</b> 65 This Agreement does not limit Your rights under, or grant You 66 rights that supersede, the license terms of any Open Source 67 Software Component delivered to You by Mentor Graphics. Sourcery CodeBench 68 includes components provided under various different 69 licenses. The <em class="citetitle">Getting Started Guide</em> 70 provides an overview of which license applies to different 71 components, and, for components subject to the Eclipse Public License, 72 contains information on how to obtain the source code. 73 Definitive licensing information for each 74 “<span class="quote">free software</span>” or “<span class="quote">open source</span>” 75 component is available in the relevant source file. 76 </p></li><li><p><b>Mentor Graphics Trademarks.�</b> 77 Notwithstanding any provision in a “<span class="quote">free software</span>” or “<span class="quote">open 78 source</span>” license agreement applicable to a component of the 79 Software that permits You to distribute such component to a 80 third party in source or binary form, You may not use any 81 Mentor Graphics trademark, whether registered or unregistered, 82 including without limitation, <span class="trademark">CodeSourcery</span>™, <span class="trademark">Sourcery CodeBench</span>™, the CodeSourcery 83 crystal ball logo, or the Sourcery CodeBench splash screen, or any 84 confusingly similar mark, in connection with such 85 distribution, and You may not recompile the Open Source 86 Software Components with the 87 <code class="option">--with-pkgversion</code> or 88 <code class="option">--with-bugurl</code> configuration options that 89 embed Mentor Graphics trademarks in the resulting binary. 90 </p></li><li><p><b>Term and Termination.�</b> 91 This Agreement shall remain in effect unless terminated pursuant to 92 this provision. Mentor Graphics may terminate this Agreement upon 93 seven (7) days written notice of a material breach of this Agreement 94 if such breach is not cured; provided that the unauthorized use, 95 copying, or distribution of the Mentor Graphics Proprietary Components 96 of the Software will be deemed a material breach that cannot be 97 cured. 98 </p></li><li><p><b>Transfers.�</b> 99 You may not transfer any rights under this Agreement without the 100 prior written consent of Mentor Graphics, which consent shall not be 101 unreasonably withheld. A condition to any transfer or assignment 102 shall be that the recipient agrees to the terms of this Agreement. 103 Any attempted transfer or assignment in violation of this provision 104 shall be null and void. 105 </p></li><li><p><b>Ownership.�</b> 106 Mentor Graphics owns and/or has licensed the Mentor Graphics 107 Proprietary Components of the Software and all intellectual 108 property rights embodied therein, including copyrights and 109 valuable trade secrets embodied in its design and coding 110 methodology. The Mentor Graphics Proprietary Components of the 111 Software are protected by United States copyright laws and 112 international treaty provisions. Mentor Graphics also owns all 113 rights, title and interest in and with respect to its trade 114 names, domain names, trade dress, logos, trademarks, service 115 marks, and other similar rights or interests in intellectual 116 property. This Agreement provides You only a limited use 117 license, and no ownership of any intellectual property. 118 </p></li><li><p><b>Warranty Disclaimer; Limitation of Liability.�</b> 119 MENTOR GRAPHICS AND ITS LICENSORS PROVIDE THE 120 SOFTWARE “<span class="quote">AS-IS</span>” AND PROVIDED WITH ALL FAULTS. 121 MENTOR GRAPHICS DOES NOT MAKE ANY WARRANTY OF ANY KIND, EXPRESS OR 122 IMPLIED. MENTOR GRAPHICS SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES 123 OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR 124 PURPOSE, SYSTEM INTEGRATION, AND DATA ACCURACY. THERE IS NO WARRANTY 125 OR GUARANTEE THAT THE OPERATION OF THE SOFTWARE WILL BE 126 UNINTERRUPTED, ERROR-FREE, OR VIRUS-FREE, OR THAT THE SOFTWARE WILL 127 MEET ANY PARTICULAR CRITERIA OF PERFORMANCE, QUALITY, ACCURACY, 128 PURPOSE, OR NEED. YOU ASSUME THE ENTIRE RISK OF SELECTION, 129 INSTALLATION, AND USE OF THE SOFTWARE. THIS DISCLAIMER OF WARRANTY 130 CONSTITUTES AN ESSENTIAL PART OF THIS AGREEMENT. NO USE OF THE 131 SOFTWARE IS AUTHORIZED HEREUNDER EXCEPT UNDER THIS DISCLAIMER. 132 </p></li><li><p><b>Local Law.�</b> 133 If implied warranties may not be disclaimed under 134 applicable law, then ANY IMPLIED WARRANTIES ARE LIMITED IN DURATION 135 TO THE PERIOD REQUIRED BY APPLICABLE LAW. 136 </p></li><li><p><b>Limitation of Liability.�</b> 137 INDEPENDENT OF THE FORGOING PROVISIONS, IN NO 138 EVENT AND UNDER NO LEGAL THEORY, INCLUDING WITHOUT LIMITATION, TORT, 139 CONTRACT, OR STRICT PRODUCTS LIABILITY, SHALL MENTOR GRAPHICS BE LIABLE 140 TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR 141 CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, 142 DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER MALFUNCTION, OR 143 ANY OTHER KIND OF COMMERCIAL DAMAGE, EVEN IF MENTOR GRAPHICS HAS BEEN 144 ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION SHALL 145 NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT 146 PROHIBITED BY APPLICABLE LAW. IN NO EVENT SHALL MENTOR GRAPHICS' 147 LIABILITY FOR ACTUAL DAMAGES FOR ANY CAUSE WHATSOEVER, AND REGARDLESS 148 OF THE FORM OF ACTION, EXCEED THE AMOUNT PAID BY YOU IN FEES 149 UNDER THIS AGREEMENT DURING THE PREVIOUS ONE YEAR PERIOD. 150 </p></li><li><p><b>Export Controls.�</b> 151 You agree to comply with all export laws and 152 restrictions and regulations of the United States or foreign agencies 153 or authorities, and not to export or re-export the Software or any 154 direct product thereof in violation of any such restrictions, laws or 155 regulations, or without all necessary approvals. As applicable, each 156 party shall obtain and bear all expenses relating to any necessary 157 licenses and/or exemptions with respect to its own export of the 158 Software from the U.S. Neither the Software nor the underlying 159 information or technology may be electronically transmitted or 160 otherwise exported or re-exported (i) into Cuba, Iran, Iraq, Libya, 161 North Korea, Sudan, Syria or any other country subject to U.S. trade 162 sanctions covering the Software, to individuals or entities 163 controlled by such countries, or to nationals or residents of such 164 countries other than nationals who are lawfully admitted permanent 165 residents of countries not subject to such sanctions; or (ii) to 166 anyone on the U.S. Treasury Department's list of Specially Designated 167 Nationals and Blocked Persons or the U.S. Commerce Department's Table 168 of Denial Orders. By downloading or using the Software, Licensee 169 agrees to the foregoing and represents and warrants that it complies 170 with these conditions. 171 </p></li><li><p><b>U.S. Government End-Users.�</b> 172 The Software is a “<span class="quote">commercial item,</span>” 173 as that term is defined in 48 C.F.R. 2.101 (Oct. 1995), consisting of 174 “<span class="quote">commercial computer software</span>” and “<span class="quote">commercial 175 computer software documentation,</span>” as such terms are used in 48 176 C.F.R. 12.212 (Sept. 1995). Consistent with 48 C.F.R. 12.212 and 48 177 C.F.R. 227.7202-1 through 227.7202-4 (June 1995), all U.S. Government 178 End Users acquire the Software with only those rights set forth 179 herein. 180 </p></li><li><p><b>Licensee Outside The U.S.�</b> 181 If You are located outside the U.S., then the 182 following provisions shall apply: (i) Les parties aux presentes 183 confirment leur volonte que cette convention de meme que tous les 184 documents y compris tout avis qui siy rattache, soient rediges en 185 langue anglaise (translation: “<span class="quote">The parties confirm that this 186 Agreement and all related documentation is and will be in the English 187 language.</span>”); and (ii) You are responsible for complying with 188 any local laws in your jurisdiction which might impact your right to 189 import, export or use the Software, and You represent that You have 190 complied with any regulations or registration procedures required by 191 applicable law to make this license enforceable. 192 </p></li><li><p><b>Severability.�</b> 193 If any provision of this Agreement is declared invalid or 194 unenforceable, such provision shall be deemed modified to the extent 195 necessary and possible to render it valid and enforceable. In any 196 event, the unenforceability or invalidity of any provision shall not 197 affect any other provision of this Agreement, and this Agreement 198 shall continue in full force and effect, and be construed and 199 enforced, as if such provision had not been included, or had been 200 modified as above provided, as the case may be. 201 </p></li><li><p><b>Arbitration.�</b> 202 Except for actions to protect intellectual property rights and to 203 enforce an arbitrator's decision hereunder, all disputes, 204 controversies, or claims arising out of or relating to this Agreement 205 or a breach thereof shall be submitted to and finally resolved by 206 arbitration under the rules of the American Arbitration Association 207 (“<span class="quote">AAA</span>”) then in effect. There shall be one arbitrator, 208 and such arbitrator shall be chosen by mutual agreement of the 209 parties in accordance with AAA rules. The arbitration shall take 210 place in Granite Bay, California, and may be conducted by telephone 211 or online. The arbitrator shall apply the laws of the State of 212 California, USA to all issues in dispute. The controversy or claim 213 shall be arbitrated on an individual basis, and shall not be 214 consolidated in any arbitration with any claim or controversy of any 215 other party. The findings of the arbitrator shall be final and 216 binding on the parties, and may be entered in any court of competent 217 jurisdiction for enforcement. Enforcements of any award or judgment 218 shall be governed by the United Nations Convention on the Recognition 219 and Enforcement of Foreign Arbitral Awards. Should either party file 220 an action contrary to this provision, the other party may recover 221 attorney's fees and costs up to $1000.00. 222 </p></li><li><p><b>Jurisdiction And Venue.�</b> 223 The courts of Placer County in the State of 224 California, USA and the nearest U.S. District Court shall be the 225 exclusive jurisdiction and venue for all legal proceedings that are 226 not arbitrated under this Agreement. 227 </p></li><li><p><b>Independent Contractors.�</b> 228 The relationship of the parties is that of independent 229 contractor, and nothing herein shall be construed to create a 230 partnership, joint venture, franchise, employment, or agency 231 relationship between the parties. Licensee shall have no 232 authority to enter into agreements of any kind on behalf of 233 Mentor Graphics and shall not have the power or authority to bind 234 or obligate Mentor Graphics in any manner to any third party. 235 </p></li><li><p><b>Force Majeure.�</b> 236 Neither Mentor Graphics nor Licensee shall be liable for damages 237 for any delay or failure of delivery arising out of causes 238 beyond their reasonable control and without their fault or 239 negligence, including, but not limited to, Acts of God, acts of 240 civil or military authority, fires, riots, wars, embargoes, or 241 communications failure. 242 </p></li><li><p><b>Miscellaneous.�</b> 243 This Agreement constitutes the entire understanding of the parties 244 with respect to the subject matter of this Agreement and merges all 245 prior communications, representations, and agreements. This Agreement 246 may be modified only by a written agreement signed by the parties. 247 If any provision of this Agreement is held to be unenforceable for 248 any reason, such provision shall be reformed only to the extent 249 necessary to make it enforceable. This Agreement shall be construed 250 under the laws of the State of California, USA, excluding rules 251 regarding conflicts of law. The application of the United Nations 252 Convention of Contracts for the International Sale of Goods is 253 expressly excluded.
